Sub : SALE OF AIRCRAFT SPARES INVENTORY
1. AIR INDIA LTD :
AIR INDIA LTD incorporated under Companies Act 1956, is a fully owned government Company under the administrative control of Ministry of Civil Aviation, Govt. of India
‘AIR INDIA’ intends to offer the following aircraft spares for sale in “as is where is” condition and invites your best and most competitive offer for the same as per details and terms & conditions below. (The e-auction will be through MSTC website http://www.mstcecommerce.com/)
* T/L#0 :Consumables / Expendables, T/L#1,2,3 : Repairables.
2.1 The above spares are intended to be offered for sale on ‘as is where is’ condition / basis which is subject to variation of 5% in number of items/quantity, etc. at the time of physical delivery.
2.2 We will provide ATA 106 for commercial Trace.
2.3 Also, we will provide Tags of FAA, COC, EASA Form1, AI acceptance Tag etc., where ever available.
2.4 Tag availability : As mentioned in the attached excel sheets.

4. PRICE OFFER :
4.1 The rates quoted should be Net rate, exclusive of all statutory charges, duties, levies clearing / forwarding / transportation charges and taxes such as Sales Tax,/ VAT, Turnover tax, Work contract Tax , Service charges Income tax, etc. and it will be buyer’s responsibility to pay / bear such cost, charges, taxes & levies. In other words, all taxes, levies, duties, etc. as may be applicable at the time of sale, shall be borne by the buyers, and would be payable in addition to the quoted sale amount. Also, all costs related to the transfer of the title / sale would need to be borne by the successful bidder(s).
4.2 Conditional offers would not be accepted.
4.3 Amendment to the offers would not be permitted after the opening of the bids.
4.4 AIR INDIA LTD will not make or participate in any financing agreement in favour of any of the prospective buyers.
4.5 The expenses incurred with regard to remitting payment through Demand Draft / Banker’s Cheque, or for wire transfer will be borne by the buyers.
5. Participation in E-Auction:
5.1 Eligibility to participate in Online E-Auction
5.1.1 Registration with MSTC (in accordance with clause (5.2 ) below). (In case already registered with MSTC and if the registration is valid – no fresh registration required)
5.1.2 Payment of EMD ( in accordance with clause 12 below)
5.1.3 Receipt of letter of Acceptance of Terms & Conditions (in accordance with annexure “O”) & Integrity Pact.
5.1.4 The prospective bidder/s are to submit the financial offers through on line e-auction on MSTC India website http://www.mstcecommerce.com/ on 12th march. 2012 commencing at IST 14.00 hrs (IST). The e-auction will be open for 06 hours i.e upto 2000 hrs IST. For this purpose the buyer will have to register with M/s MSTC (The Registration form is available on website http://www.mstcecommerce.com/)
5.2 Registration with MSTC:
5.2.1 The prospective bidder/s are required to register online with MSTC through http://www.mstcecommerce.com/
5.2.2 Registration charges for foreign bidder/s are USD 500 + service email@example.com%, payable to MSTC (please refer Annexure “T”: Bank / Contact details )
5.2.3 Registration charges for Indian bidders are Rupees 10,000 + service tax@ 10.3% payable to MSTC
5.2.4 The prospective bidders have to ensure submission of the following documents directly to MSTC
5.2.5 Letter of introduction from the local Chamber of Commerce to be sent to MSTC directly by the issuing authority.(for foreign bidders)
5.2.6 Details of bank account of the bidder along with the solvency certificate from the bank directly to MSTC (for foreign bidders)
5.2.7 Two Passport size photographs of the authorized signatory, who is the employee of the company, will have to be sent to MSTC for the purpose of issuing the ID card to be presented at the time of inspection.
6. Please make note of following additional points / terms and conditions:
6.1 LOCATION OF AIRCRAFT SPARES
The aircraft spares will be available at / located at Mumbai for purpose of inspection and taking of delivery.
6.2 TITLE TRANSFER / POINT OF SALE :
6.2.1 The successful bidder would be required to take delivery of the aircraft spares for which he / they may have qualified against this tender after issuance of Sale Order.
6.2.2 Title of the ‘aircraft spares’ will be transferred to the buyer on receipt of full and final payments as per the terms of sale agreement / Sale order / entered into with the buyer concerned. It is clearly understood that any taxes, duties or levies (central or state) applicable as per India laws or elsewhere will be to the buyer’s account. If applicable, the prospective buyer will be required to deposit the tax element along with sales price before transfer of title is effected.
7 ACCEPTANCE OF THE ‘AIRCRAFT SPARES’ OFFERED :
7.1 The material will be sold strictly on “As is where is” and “No complaint basis” in so far as physical condition of the same is concerned. The tenderer will therefore be deemed to have made themselves aware of the physical condition, dimension, size, weight, conditions at the site as per AIR INDIA LTD’s procedure, etc. by inspecting the materials before submitting their tender and no complaint nor any claim in this regard will be entertained.
7.2 Once the offer has been submitted by the bidder/s, it is construed that the bidder/s is / are satisfied with the contents & status of the ‘Aircraft spares’ as quoted for. No rejection under any pretext will be allowed at the time of delivery, or at a later date.
7.3 As the components, if any, remaining on ‘Aircraft spares’ are already scrapped, no traceability will be given by AIR INDIA LTD for any of them.
8. RIGHT OF WITHDRAWAL:
AIR INDIA LTD reserves the right to withdraw the ‘Aircraft spares’ from sale without assigning any reason whatsoever. Should such a withdrawal occur after submission of bid, the EMD would be returned to the bidders.
9. AGREEMENT FINALISATION:
If required, the successful bidder, at their own expense, shall visit AIR INDIA LTD for execution of the Sale Agreement. / Sale Order
10. INSPECTION: After completing the Registration formalities with MSTC, the prospective bidders if so wish, are welcomed to inspect the ‘Aircraft spares’ with advance intimation at their own cost prior to submission of the offer. Inspection will not include running / functionalities of the engine / aircraft/components.
The ‘Aircraft spares’ / material offered for sale may be inspected during working hours / days of AIR INDIA LTD at their site with prior permission and by observing Security Regulations of AIR INDIA LTD. 11. DELIVERY OF ‘AIRCRAFT SPARES’:
11.1 ‘Aircraft spares’ will be delivered in “as is where is” condition subject to receipt of full and final payment as per the sale agreement / Sale order / and meeting of all regulatory requirement including the security related formalities and clearances. All associated costs with regard to delivery of the ‘Aircraft spares’ will have to be borne by the buyer.
11.2 The buyer must endeavor to take delivery of ‘Aircraft spares’ within 90 days of signing of sale agreement / Sale order (60 days of full and final payment). For the unreasonable delay in taking delivery, AIR INDIA LTD reserves the right to impose / charge penal rate / ground and parking charges for the delayed period at its sole discretion – read with Para (d) below.
11.3 Delivery of the ‘Aircraft spares’ covered in this tender will be made only after signing of the Sale agreement / Sale order & realization of the sale price in full.
11.4 The party will also be given 60 days time to remove the ‘Aircraft spares’. The delivery time shall count from the date intimated to the party by AIR INDIA LTD for the ‘Aircraft spares’.
11.5 The process will be as per the instructions of AIR INDIA LTD Engineering. Any non-compliance of instructions for whatever reason, leading to damage to ‘Aircraft spares’ will be to the buyer’s account. AIR INDIA LTD will not be responsible either to provide the support or for any damage caused due to non-compliance of instructions by AIR INDIA LTD Engineering.
11.6 It will be the responsibility of the Buyer to provide proper safety gears like handgloves, shoes, etc. to its employees to prevent any injury while carrying out the job.
11.7 The party should provide adequate number of suitable manpower at the work area.
11.8 If the party does not call on AIR INDIA LTD within 7 days from the date of issue of Letter of Intent by fax / email, an amount of Rs.1.00 lakh will be deducted from the Security Deposit per week or portion thereof for the period of delay.
11.9 Under no circumstances, delivery beyond 90 days will be considered by AIR INDIA LTD.
11.10 Failure to pay the sale price and / or to remove the ‘Aircraft spares’ after payment within the prescribed time limit will render EMD liable to be forfeited without notice.
11.11 Sales Tax and other state /Central levies as applicable to be borne by the buyer.
11.12 Once the party remits the full consideration including other levies, the ‘Aircraft spares’ will become the property of the buyer and will be lying at the risk of the buyer in AIR INDIA LTD premises. AIR INDIA LTD will not be responsible for any theft, pilferage, loss of any portion of the ‘Aircraft spares’ and it is incumbent on the party to provide required security, for which permission will be given by AIR INDIA LTD after submission of application for pass with Police verification of their employees concerned.
11.13 In the event of dispute in the terms of the tender with regard to delivery date etc. conditions / decision stipulated by AIR INDIA LTD will prevail.
11.14 In the event of AIR INDIA LTD advising the party to proceed with dismantling of the ‘Aircraft spares’ and subsequently advising them to stop dismantling, the party will immediately comply with the same. After clearance from AIR INDIA LTD, the party will commence dismantling forthwith.
11.15 The buyer will have to make his own arrangements for transporting the ‘Aircraft spares’ covered in this tender from the location. All incidental charges for collection of components, employment of manpower, transport, taking delivery, etc. will by borne by the Buyer. The Buyer shall lift the materials from AIR INDIA LTD site by employing their own labour and arranging transport at their own risk and cost by observing Security Regulations of AIR INDIA LTD.
11.16 Expenses, if any, incurred by AIR INDIA LTD associated with transportation of ‘Aircraft spares’ as covered in this tender after the transfer of title, shall be reimbursed by the buyer. Such assistance will be provided by AIR INDIA LTD only on having expressly agreed to the same and the cost associated with transportation, etc. will have to be borne by the buyer.
11.17 The ‘Aircraft spares’ as covered in this tender shall remain in the custody of AIR INDIA LTD, at the risk of the buyer, until delivery has been taken by the buyer following receipt of full payment & fulfillment of all contractual obligations as per the terms of this tender.
11.18 In case of failure to remove / take delivery of the ‘Aircraft spares’ as specified in this tender within the stipulated time, demurrage charges @5% of the sale price will be charged for every 30 days of delay or part thereof. This is, however, without prejudice to the rights of AIR INDIA LTD to forfeit any or all payments made by the buyer, and to automatically revoke the sale, and to re-sell such item(s) at the cost and risk of the buyer.
11.19 Buyer will not be permitted to sell / effect sub-sale of any kind to the Third Party within the AIR INDIA LTD premises.
11.20 Buyer shall take delivery of the ‘Aircraft spares’ thereof notwithstanding the faults and flaws, if any, in the description / otherwise and irrespective of whether they were actually inspected or not.
11.21 Buyer will have to fulfill relevant provisions of safety and security as applicable including the statutory and regulatory provisions prevailing and as applicable to them or their representatives while transacting the above sale deed or taking delivery of the ‘Aircraft spares’ .The necessary insurance cover for all its employees and/or its sub-contractor's employees and/or any other representatives deputed by the Buyer and/or deputed by Buyer's sub-contractor at AIR INDIA LTD's facility will be responsibility of Buyer and indemnify AIR INDIA LTD for any possible injury/death of these personnel due to the activities carried out in AIR INDIA LTD premises."
11.22 If required, buyer will have to take the Insurance coverage as deem suitable for the delivery and transportation. In the event buyer fails to take such suitable / extended insurance, buyer will be fully responsible for the consequences including all risks such as theft, pilferage, demurrage, loss of any portion of the ‘Aircraft spares’.
11.23 The Buyer will be responsible to comply with the provisions of the Central & State Excise and Sales Tax Act of concerned State and the rules framed there under and also by the orders/instructions issued in this behalf by the appropriate authority.
11.24 The Buyer shall follow AIR INDIA LTD’s procedure in regard to the issue of gate passes for taking the materials out of the AIR INDIA LTD’s premises.
12. EARNEST MONEY DEPOSIT (PRE-BID EMD):
12.1 The EMD submitted will be interest free EMD.
12.2 The EMD must be paid only by Demand Draft / Pay Order / Banker's Cheque in favour of AIR INDIA LTD and payable at Mumbai. Please note EMD by Cheque is NOT acceptable
12.3 The offer received without EMD will not be considered. The Bidder’s Offer will be considered only for the Lot for which the EMD has been paid.
12.4 EMD will be refunded to all the bidders except the successful bidder. EMD of successful bidder will be adjusted against the payment to be made by the successful bidder(s) as security deposit / sale transaction
12.5 In case a bidder/s withdraws his bid after opening of the bids, or fails or refuses to honour his offer, or defaults in any manner in the fulfillment of his obligations under this tender, the EMD / Security deposit would be forfeited.

13. SECURITY DEPOSIT / (POST BID EMD) :
The Security Deposit / Post Bid EMD amount equivalent to 10% of the sale price will have to be deposited by the successful bidder / buyer within 10 days of intimation / issue of Letter of Intent and the balance payment will follow upon finalization of sale agreement / Sale order. In the event of failure to conclude the sale agreement / Sale order or take delivery of ‘Aircraft spares’, the security deposit will not be refundable but will be forfeited / adjusted to the over all sale price realization.
14. PAYMENTS :
14.1 The Payment will have to be made in INR or US$. The full and final payment must be made within 20 days of finalization of sale agreement / Sale order or such extended time as permitted by AIR INDIA LTD at its sole and absolute discretion.
14.2 Payments schedule will be:
14.2.1 Within 10 days of intimation of acceptance of offer i.e. equivalent to
10 percent of sale price as security deposit ( post Bid EMD )
14.2.2 Within 20 days of finalization of signing of sale agreement / Sale order / sale order i.e balance full and final payment of agreed sale price.
15. VALIDITY OF OFFER :
The offers made by the bidders shall be valid for a period of 90 days (ninety days) from the date of opening of the price bids.

The successful bidders may be required to visit AIR INDIA LTD office to finalise the sale agreement / Sale order / Sale order at their own expense. It is also clarified that AIR INDIA LTD will not undertake or participate in any financing agreement for / on behalf of the prospective buyer.
18. TAXES AND LEVIES
All applicable taxes, levies, duties, customs clearing forwarding and transportation charges will have to be borne by the buyer. In other words, the rate quoted will be net, exclusive of all taxes, levies, duties, Octroi( if applicable), other charges including Sundry and incidental Expenses, if any..
19. NO DEVIATION :
No request for deviation will be entertained by AIR INDIA LTD at its discretion.
20. GENERAL TERMS & CONDITIONS:
20.1 If any damage or loss is caused to the men, materials or property of AIR INDIA LTD or even if any claim arises against AIR INDIA LTD by reasons of any act or commission or negligence on the part of the Buyer or their representatives / employees, AIR INDIA LTD shall be entitled to recover such losses or damages or claim as may be ascertained by AIR INDIA LTD which ascertainment shall be final and binding on the Buyer from any amount due to the Buyer including the advances made / to be made as the case may be without prejudice to AIR INDIA LTD’s right to take further action as well as recover such losses, damage or claim.
20.2 AIR INDIA LTD shall not be liable for consequential damages when its performance is delayed by unforeseen circumstances like Strike, Fire, Riot, War, Rebellion, Insurrection, failure or shortage of transportation facilities, Government Regulations or other causes and circumstances beyond control.
21. GOVERNING LAWS, JURISDICTION AND ARBITRATION
21.1 In the event the sale is concluded in India, the Indian laws will be applicable. The contract / sale agreement / Sale order will thus be subject to jurisdiction of Indian courts at Mumbai./ India.
21.2 All disputes and differences arising out of this tender shall be subject to the jurisdiction of the Courts of Mumbai, India.
21.3 Any dispute or deference arising out of this tender / sale contract which cannot be settled with mutual discussion, will be referred for arbitration at Mumbai or at any of the Indian Stations where the actual sale has taken place and provisions of Indian arbitration law will apply. Any dispute or difference whatsoever arising between the parties out of or in relation to the interpretation, application, scope, operation or effect of the Sale agreement / Sale order, or the validity or the breach thereof, shall be settled by arbitration in accordance with the Rules of Arbitration of the ‘SCOPE FORUM OF CONCILIATION AND ARBITRATION’ (website: www.scopeonline.in) and the award made in pursuance thereof shall be binding on the parties. In the event the sale is concluded outside India, applicable laws, jurisdiction and arbitration will be as mutually agreed and acceptable.
22. RESERVED RIGHTS & INDEMNIFICATION :
22.1 AIR INDIA LTD is not bound to accept the highest or any or all of the bids received. Further AIR INDIA LTD reserves the right to accept or reject any or all offers in part or in full or withdraw their ‘Aircraft spares’ alter terms of sale during the tender process or prior to finalization of the Sale agreement / Sale order at its sole discretion, without assigning any reason whatsoever and as decided by GM-Material Management, and no correspondence or complaints of any nature will be entertained in this regard.
22.2 AIR INDIA LTD shall not be liable for any consequential damages arising out of sale of this ‘Aircraft spares’. AIR INDIA LTD confirms at the time of sale, this ‘Aircraft spares’ will be free from any external lien or third party claims. The buyer shall defend, protect and indemnify and hold AIR INDIA LTD harmless for any and all claims arising out of sale / purchase of the ‘Aircraft spares’ as a consequence of buyers non fulfillment of their obligations and against any and all liability of any nature whatsoever arising out of the transaction.
